These Terms of Service (“Terms”) govern your use of Kontext Labs’ websites, applications, and related services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not use the Services.
In these Terms, “Kontext Labs,” “we,” “us,” and “our” refer to Kontext Labs.
Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted. If you do not agree to the revised Terms, you must stop using the Services.
1. Privacy and Cookie Policies
By using our Services, you agree to Kontext Labs’ Privacy Policy and Cookie Policy.
2. No Children
The Services are not intended for children under 13. By using the Services, you represent that you are at least 13. If we learn that someone under 13 is using the Services, we may suspend or terminate their account.
3. Content Rights and Responsibilities
This Section applies to content you upload, submit, or generate using the Services (“Project Content”), including Projects, files, documents, notebooks, and generated artifacts.
For AI-powered features, Project Content also includes (a) prompts, queries, and data you submit (“Inputs”) and (b) AI-generated results (“Output”), as described in Section 4.

You own your Project Content. You retain ownership of your Project Content, and we do not claim ownership of it.

You are responsible for your Project Content. You represent and warrant that you have all rights necessary to submit your Project Content and to grant the licenses described in these Terms.

Limited license to operate the Services. By submitting Project Content to the Services, you grant us a nonexclusive, worldwide license to host, store, reproduce, process, display, and reformat your Project Content. This license is nonexclusive and does not restrict you from using your Project Content elsewhere or submitting it to other services.
To the extent necessary to provide, maintain, secure, and support the Services, you also grant us the right to:
- share your Project Content as you direct (for example, with authorised collaborators or through Public Project settings you enable); and
- share your Project Content with our service providers who help us operate the Services, solely for the same purposes.

Removal and restriction. We may remove or restrict access to Project Content that violates these Terms or applicable law.

Deletion. You may delete your Project Content or your account at any time. We may retain backup copies of deleted data in accordance with our Privacy Policy until deletion is complete.

No sale of Project Content. We will not sell your Project Content.
4. Artificial Intelligence
4.1 AI Disclaimer
The Services may use artificial intelligence (AI) and machine‑learning systems to generate content, suggestions, or other results (collectively, “Output”). AI systems are probabilistic and may produce inaccurate, incomplete, or biased results. You must independently verify any Output before relying on it. We make no warranties or representations regarding the accuracy, completeness, reliability, or suitability of any Output.
4.2 AI Services and Third‑Party Providers
In this Section, “Inputs” means the prompts, queries, and data you submit to AI-powered features. When you use AI-powered features, we may transmit Inputs to third‑party AI providers to generate Output. By using AI-powered features, you consent to such sharing. Third‑party providers may retain or use Inputs in accordance with their policies; we are not responsible for their practices. See our Privacy Policy for details on how we process personal data.
4.3 Prohibited / Sensitive Inputs
Do not submit sensitive personal data or other information you do not have the right to share, including:
- government identification numbers (e.g., Social Security numbers)
- protected health information (PHI)
- financial account numbers or credentials
- biometric identifiers
- precise geolocation data
- personal information of children under applicable age limits
- any other special category of personal data under applicable law
You are responsible for obtaining any required consents before submitting Inputs.
4.4 Use, Storage, and Moderation
We may store your Inputs, Output, and AI agent memory (for example, in chats and agent databases) to provide and support AI-powered features. We do not guarantee that we will retain Inputs, Output, or AI agent memory for any specific period, and we may delete them in accordance with these Terms and our Privacy Policy. We do not currently use customer Inputs or Output for model training or to improve third‑party models unless we explicitly notify you or enter into a contractual agreement permitting such use.
4.5 Ownership and Output
You retain ownership of your Inputs, Output, and AI agent memory, subject to any limited license you grant us to operate the Services (see Section 3). Output may not be unique and may be similar across users. Kontext Labs does not guarantee any Output will be protectable by intellectual property law.
4.6 Liability and Indemnity for AI Use
AI-derived Output is provided “as-is” and we disclaim liability for decisions or actions taken based on such Output. You agree to indemnify, defend, and hold harmless Kontext Labs in accordance with Section 14 from claims arising out of your Inputs, your use of Output, or your failure to comply with the Prohibited Inputs rules.
5. Our Content and Services
- We may modify, suspend, or terminate any aspect of the Services at any time, without notice.
- Crawling the Services is permitted only if done in accordance with our robots.txt file. Scraping the Services is strictly prohibited.
5.1 Project Visibility
Projects on the Services are classified as either Public or Private:
- Public Projects: Accessible to all users, including visitors without an account.
- Private Projects: Accessible only to the project owner and authorised collaborators.
You agree not to disclose Project Content from Private Projects to third parties without the project owner’s consent.
6. Prohibited Actions
You may not:
- Access or tamper with non-public areas of the Services.
- Access the Services by any means other than the published interfaces.
- Exploit the Services to send or publish altered, deceptive, or false information.
- Script the creation of content or accounts in a way that interferes with or creates an undue burden on the Services.
- Interfere with or disrupt the Services to make them unavailable to other users.
7. Accounts, Passwords, and Security
We may suspend or disable your account without notice if you breach these Terms.
You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or password, or any other security breach. You may be held liable for losses incurred by Kontext Labs or others due to your failure to keep your account information secure and confidential.
We strongly recommend enabling two-factor authentication (2FA) where available to enhance the security of your account.

8. Disclaimer of Warranty
To the maximum extent permitted by law, we provide the Services on an “as is” and “as available” basis. Your use of the Services is at your sole risk and discretion. The Services are provided without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, availability, security, title, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, we are not liable to you for any damages arising from your use of the Services, including if the Services are hacked or unavailable. This limitation applies to all types of damages (indirect, incidental, consequential, special, or exemplary) and all legal theories (breach of contract, breach of warranty, tort, or otherwise).
10. No Waiver
If we do not exercise a particular right under these Terms, that does not waive it.
11. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect, and the court will endeavor to give effect to the parties’ intentions as reflected in the invalid provision.
12. Law and Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia, without reference to its conflict of laws provisions. You agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia for any dispute arising out of or relating to these Terms or the Services.
13. Intellectual Property
All content, trademarks, logos, and branding on Kontext Labs (excluding Project Content) are the property of Kontext Labs or its licensors. You may not use, copy, or distribute any part of the site or its content without our express written permission, except as expressly permitted by these Terms or applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Kontext Labs, its affiliates, officers, agents, and employees from any claim, demand, loss, or damages, including reasonable legal fees, arising out of or related to your use of the Services, your Project Content, or your violation of these Terms.
15. Force Majeure
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet outages, or governmental actions.
16. Assignment
We may assign or transfer our rights and obligations under these Terms to another entity in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations without our prior written consent.
